SEN Books is a partnership run by Colin and Rachel Redman.
Buyer: The person who buys or agrees to buy the goods from the Seller.
Conditions: The terms and conditions of sale as set out in this document and any special terms and conditions agreed in writing by the Seller.
Goods: The articles which the Buyer agrees to buy from the Seller.
Price: The price for the Goods, excluding VAT and any carriage, packaging and insurance costs.
Seller: SEN Books
These Conditions shall form the basis of the contract between the Seller and the Buyer in relation to the sale of Goods, to the exclusion of all other terms and conditions including the Buyer's standard conditions of purchase or any other conditions which the Buyer may purport to apply under any purchase order or confirmation of order or any other document.
Contract: The buyer's acceptance of any goods purchased from SEN Books shall constitute agreement to the terms and conditions set forth herein. This contract constitutes the sole agreement between the buyer and SEN Books; however, it will be affected by specific terms and conditions published by SEN Books and any agreements, amendments, or waivers agreed to in writing. In addition, SEN Books shall not be held responsible for any contrary or inconsistent terms appearing on the buyer's purchase orders, acknowledgements, or other documents.
Acceptance of goods: The buyer agrees to fully inspect all received goods within 48 hours after the time of delivery. The Buyer shall be deemed to have accepted the Goods after this time. In the event that such inspection reveals that any goods are damaged, the buyer shall have the right to reject such goods. The buyer must then notify SEN Books within ten days of the time of delivery of any such damage. If SEN Books is not notified of the damage in writing or by phone within ten days of receipt, the buyer shall be deemed to have accepted the goods as is. Such acceptance shall constitute the Buyer’s irrevocable acceptance if the goods and a waiver of any and all claims the Buyer may otherwise have against SEN Books with respect to these goods.
Right of Return: All goods purchased online or at distance are covered by The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. If the Buyer wishes to return goods purchased via the website or a distance the buyer must make a request to return the goods within 14 days. The Buyer shall notify SEN Books prior to returning any goods and when granted permission by SEN books shall obtain a proof of postage for the return. On safe receipt SEN Books shall refund the value of the goods or cancel the applicable invoice. The cost of postage or carriage for the return shall be borne by the buyer.
Claims: All claims related to the shipment, including damaged or missing items, applicable invoice, and/or goods must be made in writing within ten days of the buyer's receipt of shipment.
Delivery and Shipping: Carriage shall be charged on all UK orders under £50.00 value at the rate stipulated by SEN Books on their catalogue and website. Carriage will be charged on all overseas orders. All order costs and freight charges are prepaid when shipping orders overseas. SEN Books will notify you of the cost of carriage prior to shipping unless otherwise agreed. Any dates quoted for merchandise shipment are only estimates and are not guaranteed. SEN Books may make partial deliveries, unless otherwise specified on the purchase order. SEN Books will endeavour to meet any quoted shipment dates but does not guarantee to do so and shall have no liability for any delay in shipment or delivery. SEN Books shall not be held responsible for any damage or loss incurred by the buyer due to delays in shipment or delivery. If short delivery does take place, the Buyer undertakes not to reject the Goods but to accept the Goods delivered as part performance of the contract. In no event shall SEN Books be liable to the Buyer or any third party for any lost profits or incidental, special or consequential damages.
Title and Risk: Unless otherwise indicated in the governing freight terms, risk shall pass to the buyer when SEN Books ships the merchandise to the buyer's designated delivery address. Notwithstanding the earlier passing of risk, title in the Goods shall remain with the Seller and shall not pass to the Buyer until the amount due under the invoice for them (including interest and costs) has been paid in full.
Copyright: All the goods sold are protected by UK and international copyright laws. Users may not reproduce, perform, create derivative works from, republish, upload, post, transmit, or distribute in any way whatsoever any material supplied by SEN Books without prior written permission from the Publisher of the good(s) supplied unless specified within the publication. Any modification of the goods, or any portion thereof, or use of the goods for any other purpose constitutes an infringement of copyright and other proprietary rights. Use of these goods on any other web site or other networked computer environment is prohibited without prior written permission. The buyer is responsible for legal fees incurred by SEN Books due to the buyer's distribution, resale, or promotion of goods supplied by SEN Books or unauthorised use of the materials.
Warranties: The Seller warrants that the Goods will at the time of delivery correspond to the description given by the Seller in their published documentation.
Invoicing and Payment: When placing an order, the buyer must either prepay by debit or credit card or provide an institutional purchase order. A verbal order from an approved organisation can be deemed to be an institutional purchase order. Where an institutional purchase order has been provided, full payment of the cost and VAT shall be due within 30 days of the date of the Seller's invoice, unless otherwise specified. SEN Books reserves the right to charge interest on overdue invoices. In the event that interest on overdue invoices is charged, it shall accrue from the date when payment becomes due calculated on a daily basis until the date of payment, at the rate of 5% per annum above the Bank of England base rate from time to time in force. Such interest shall accrue after as well as before any judgment. The Buyer shall pay all accounts in full and not exercise any rights of set-off or counter-claim against invoices submitted by the Seller. The awarding of a credit account to organisations that are not government funded is at the sole discretion of SEN Books. SEN Books reserves the right to suspend or terminate credit facilities to organisations that do not adhere to the invoicing and payment terms outlined above.
Collection fees and Acceleration: The buyer shall be responsible for all legal fees incurred by SEN Books in collecting its receivables hereunder and for interest on all past due amounts. The buyer shall not be responsible for amounts exceeding the maximum rates allowable by law. SEN Books retains the option to accelerate the buyer's entire account debt if a payment is late.
Indemnification: The buyer shall indemnify SEN Books from any and all loss, damage, cost, charge, expense., or liabilities of whatever nature and howsoever arising. This includes but is not limited to any legal or other professional fees and the costs of defending or prosecuting any claim and any loss of profit, goodwill, and any other direct or consequential loss incurred or suffered by SEN Books directly or indirectly by reason of any act or omission committed in breach of these terms and conditions and the obligations and warranties contained in them.
Assignment: The buyer's rights and obligations under this sales agreement may not be assigned to a third party without prior written consent from SEN Books.

If any provision of this Agreement is deemed void, unlawful, or otherwise unenforceable for any reason, then that provision will be severed from this Agreement and the remaining provisions of this Agreement will remain in force. This Agreement constitutes the entire agreement between user and SEN Books concerning the user's use of the Website and the goods and downloads sold hereon, and the Agreement will not be modified, except in writing, signed by both parties.
